Your Plex Pass is associated to your account, not a server on a specific device.
If you have a separate server on the Shield, you can link that to the same account and your Plex Pass will enable the additional features.

If you want to move/migrate an existing server from Windows to the Shield, that’s going to be a bit more tricky. It’ll be possible to keep some of the configuration/data, but it’ll probably be considered to be a new server (e.g. requiring to recreate any earlier sharing).

Question would you recommend using the Nvidia as the server and let it do the trans coding or make the Nvidia a client and point to it a PC as the Plex server ?

That’s a resounding “No”.
The Shield is a quite decent Plex client. But as a Plex server it is only sufficient for very small media collections or as a beginner’s device.
The lack on internal storage, and RAM of the Shield are quite limiting factors.
The closed-off nature of Android as an operating system makes it very hard to do any maintenance, device movement, or data backups.

If you are accustomed to Windows, a mini PC running Windows will do much better for you.
